TERMS & CONDITIONS FOR INITIATIVES

India SME Forum

Comprehensive Policy for All Events, Programs, Webinars, Workshops, Conferences, Delegations, Awards, Training & Other Activities

PREAMBLE

Registration for participation in any event, awareness session, seminar, conference, webinar, workshop, delegation, training program, award ceremony, networking session, mentoring initiative, advisory program, or any other activity organized, hosted, supported, endorsed, or facilitated by India SME Forum (Organizer" or "Forum") shall be deemed as complete acceptance of the following Terms and Conditions ("T&C") by the participant ("Delegate “ or " Participant").

These T&C apply to all Initiatives of the Forum in all formats (physical, virtual, hybrid, or any combination thereof) and shall be binding on all Participants. By registering, confirming, or attending any Initiative, the Participant explicitly and unconditionally accepts and agrees to be bound by these T&C in their entirety.


1. DEFINITIONS

For purposes of these T&C, the following terms shall have the meanings ascribed below:

"Forum" / "Organizer" means India SME Forum, a not-for-profit organization and includes its trustees, office bearers, employees, representatives, authorized agents, partners, sponsors, vendors and service providers acting on its behalf.

"Initiatives" means all events, programs, webinars, workshops, conferences, delegations, awards, incubations, mentoring, advisory, training, networking, consultations and any other activities, whether formal or informal, conducted in any format (physical, virtual, hybrid, or any other medium) organized or facilitated by the Forum.

"Event" means any specific Initiative, whether conducted at a fixed time and venue, or in a virtual/hybrid format, with defined duration and scope.

"Participant" or "Delegate" means any individual or entity (including directors, representatives, employees, or authorized representatives of organizations) who registers for, accepts an invitation to, attends, or participates in any Initiative of the Forum, including attendees, speakers, panellists, exhibitors, mentors, judges, awardees, applicants and observers.

"Member" means any person or entity formally admitted and recognized as a member of India SME Forum in accordance with its internal bye-laws, rules and membership policies. Membership may be individual, corporate, or institutional.

"Non-Member" means any Participant who is not a recognized Member of the Forum.

"Initiative Terms" means specific terms, rules, conditions, or guidelines notified by the Organizer in relation to a particular Initiative, which may supplement or modify these general T&C for that specific Initiative.


2. SCOPE, ACCEPTANCE & BINDING NATURE

These T&C constitute a binding contract between the Participant and the Forum and shall apply to all participation, in any form.

By registering for, accepting an invitation to or attending any Initiative, the Participant:

  • Confirms having read, fully understood and agreeing to be bound by all provisions of these T&C;
  • Explicitly consents to all terms, limitations, disclaimers and indemnities contained herein;
  • Undertakes to comply with all additional Initiative-specific rules, instructions, guidelines and policies notified by the Forum from time to time;
  • Represents that they have the authority and capacity to bind themselves to these T&C.

The Participant may not participate in any Initiative if they do not agree to any provision of these T&C. Continued participation constitutes acceptance.

Conflict of Terms: In case of any conflict or inconsistency between these general T&C and specific Initiative-wise terms notified separately by the Forum, the specific Initiative terms shall prevail to the extent of such conflict, but only for that specific Initiative.


3. ELIGIBILITY & REGISTRATION

3.1 Eligibility Criteria

Participation in Initiatives is generally open to:

  • Members of India SME Forum;
  • Non-Members who represent registered MSMEs, startups, small businesses, enterprises or organizations recognized under Government schemes (such as Udyam Registration, DPIIT Startup Recognition, or other applicable schemes);
  • Individuals professionally engaged in business, entrepreneurship, or aligned fields;
  • Other categories as may be specified for a particular Initiative.

The Organizer reserves the absolute right, at its sole discretion, to:

  • Verify eligibility of any Participant;
  • Request proof of MSME status, business registration, or other documentation to establish eligibility;
  • Reject applications or deny entry to Participants who do not meet eligibility criteria or provide inadequate proof;
  • Restrict participation to certain categories (e.g., Members only, or by-invitation only) for any Initiative.

3.2 Registration Process & Confirmation

Registration is accepted on a first-come, first-served basis and is subject to availability, capacity and the Organizer's approval.

The Organizer reserves the right to close or restrict registrations at any time, without notice.

A written or electronic confirmation of participation (hereinafter referred to as "Confirmation") will be sent to the email address or contact details provided during registration.

This Confirmation is a conditional confirmation of eligibility to attend and is subject to:

  • Verification of documents and eligibility;
  • Availability of capacity at the time of the event;
  • Compliance with all terms, conditions and conduct requirements;
  • Security clearance and other checks, if any.

The Confirmation does not constitute an irrevocable, legally binding guarantee of admission under all circumstances. It is conditional and subject to operational, security, legal, capacity and other considerations that may arise on or before the date of the Initiative.

Participants who have received a Confirmation must produce a valid, original copy (printed or electronic) of the same at the registration/entry desk of the Initiative.

Registrations obtained through misrepresentation, falsification of documents, unauthorized use of another person's credentials, or any form of fraud may be cancelled immediately without notice and the Participant may be permanently barred from attending future Initiatives of the Forum.

3.3 "This Invitation Admits Only One"

Where the Confirmation or invitation states "This invitation admits only one," this means:

  • The Confirmation is personal and non-transferable;
  • It is valid for the entry of one person only (the registered Participant or their authorized representative);
  • The Participant may not transfer, share, or provide the Confirmation to any third party;
  • Attempt to do so may result in cancellation and barring from future events.

4. MANDATORY ARRIVAL TIME & PUNCTUALITY REQUIREMENTS

4.1 Critical Importance of Punctuality

Many Initiatives of the Forum, particularly closed-door, closed-duration or short-format events, operate on strict schedules with defined start times and durations. These events involve structured agendas, specific speakers, presentations, discussions or activities that must begin and end at specified times.

The Forum recognizes punctuality as a cardinal professional virtue in the entrepreneurial ecosystem. Upholding punctuality standards protects the time, experience and professional respect of all Participants who arrive on time.

4.2 Mandatory Entry Windows & Cut-Off Times

For many Initiatives, the Forum may specify in the Confirmation, invitation, or event details:

  • A mandatory arrival window (e.g., "Entry will begin 15 minutes prior to the event and the programme will proceed strictly as per schedule. Kindly ensure you arrive on time, before the start of the event;");
  • A required check-in or registration time;
  • A cut-off time after which entry will not be permitted;
  • Specific instructions regarding timing, venue gates or access procedures.

These instructions are mandatory and non-negotiable. Failure to comply with specified arrival times shall constitute a breach of these T&C.

4.3 Right of Denial of Entry Based on Late Arrival

The Organizer reserves the absolute right to deny entry to any Participant who:

  • Arrives after the scheduled start time of the Initiative;
  • Arrives after any notified cut-off time;
  • Misses the mandatory entry window or registration deadline;
  • Arrives when the Initiative is already significantly underway.

Late arrival denial is not discretionary; it is a matter of operational necessity and professional fairness. The Organizer is under no obligation whatsoever to:

  • Provide prior notice of denial;
  • Offer an explanation;
  • Accommodate late arrival by extending the program or providing makeup sessions;
  • Alter venue arrangements or schedules for the benefit of latecomers;
  • Provide any alternative or substitute arrangement.

4.4 Grounds for Late Arrival Denial

Late arrival may be denied because:

  • The event is capacity-constrained and permitting late entry could disrupt seating arrangements for participants who arrived on time;
  • Late entry would disturb ongoing sessions, presentations or discussions;
  • Late arrival compromises security protocols or verification procedures;
  • The remaining event duration is insufficient for meaningful participation;
  • Venue rules or venue host restrictions do not permit late entry;
  • The program is time-sensitive and cannot accommodate late starters.

4.5 No Liability for Late Arrival Denial

The Organizer shall have no liability, financial or otherwise, for any claims arising from denial of entry due to late arrival, including but not limited to:

  • Reimbursement of travel or accommodation expenses;
  • Compensation for lost business opportunities or professional embarrassment;
  • Damages for inconvenience, distress, or wasted time;
  • Claims for breach of contract, discrimination, or unfair treatment;
  • Reputational harm or claims related to cancellation of meetings or commitments.

The Participant assumes all risk and responsibility for timely arrival. Non-arrival or late arrival is solely the Participant's responsibility and the Forum bears no liability whatsoever.


5. DOCUMENT VERIFICATION & IDENTITY

5.1 Required Documents

Participants must present the following documents at the registration desk or entry point for verification:

  • Valid Government-issued Photo ID (such as Passport, Aadhar Card, PAN Card, Voter ID, or Driving License);
  • MSME Udyam Certificate, MSME Registration or other accepted proof of business/enterprise status (for Non-Members claiming MSME status);
  • Confirmation of participation, as sent by the Organizer (printed or electronic copy).

5.2 Admission Based on Documents

Admission is granted only upon successful verification of the above documents.

Admission may be denied without notice or explanation if:

  • Required documents are not produced;
  • Documents appear forged, altered or invalid;
  • The Participant's identity cannot be verified;
  • The Participant is identified as a repeat offender, conducts violator, or blacklisted individual.

The verification process may include checks against databases, cross-referencing with registration records or other reasonable verification procedures.

The Organizer is not liable for any delays or inconvenience caused by the verification process.


6. PRIORITY, SEATING & MEMBER PREFERENCES

6.1 Priority Categories

The Forum operates as a not-for-profit organization serving the MSME entrepreneurial ecosystem. As part of its mission and organizational policies, the Forum reserves the right to prioritize and grant preferential treatment to the following categories of Participants:

  • Forum Members particularly those with active, sustained membership;
  • Entrepreneurs selected or featured to present or showcase their business journey, success stories, or transformation tales;
  • Speakers, panellists, judges, mentors and key resource persons officiating at the Initiative;
  • Award winners, awardees or recognizees being honored at the Initiative;
  • Sponsors, partners and collaborators of the Initiative;
  • Government officials, dignitaries or nominated participants with designated roles;
  • Any other category as determined by the Organizer for that specific Initiative.

6.2 Member Privileges & Preferential Treatment

Members of India SME Forum may receive certain privileges, which may include but are not limited to:

  • Reserved or priority seating;
  • Early registration, priority confirmation or guaranteed access;
  • Exclusive sessions, networking opportunities or meals;
  • Access to premium materials, delegate kits or merchandise;
  • Recognition or special acknowledgement during the Initiative;
  • Other benefits as notified by the Forum from time to time.

These privileges are granted as a benefit of membership and to encourage participation and commitment to the Forum's mission.

6.3 Non-Member Seating & Availability

Non-Members, general invitees and late registrants shall be seated on a best-effort, availability basis.

Where capacity is constrained, the Organizer shall prioritize:

  • Members and priority categories (as listed above);
  • Participants who registered early;
  • Other Participants on a first-come, first-served basis.

Non-Members are expressly advised that seating, refreshments, meals, and premium services are available only to the extent capacity permits and may be limited or unavailable.

The Organizer reserves the right to:

  • Reallocate seats dynamically based on participant arrival and capacity;
  • Deny additional services (meals, refreshments, kits) to late arrivals or when supplies are exhausted;
  • Move Participants to different seating zones or standing areas to accommodate others or manage capacity.

6.4 Scope of "Free of Cost" Access for Non-Members

Where participation is offered at no cost/free of charge to Non-Members, such complimentary access is limited to:

  • A delegate badge or identity card;
  • A standard seat at the venue (subject to availability and capacity);
  • Basic refreshments such as tea, coffee, or water (as provided; subject to availability and venue supply);
  • Access to the main session or event.

Complimentary access DOES NOT include:

  • Meals (breakfast, lunch, dinner or snacks beyond basic refreshments);
  • Premium delegate kits or merchandise;
  • Exclusive meals, breakfasts, or gala dinners;
  • Premium seating or VIP access;
  • Recordings, materials, or proprietary content;
  • One-on-one meetings with speakers or organizers;
  • Certificates, unless explicitly notified;
  • Any other premium or special services.

These limitations reflect the cost-free nature of participation and help the Forum manage resources and sustainability. Non-Members are not entitled to claim any premium services merely by attending a free event.

6.5 Invitations for Special Meals & Exclusive Sessions

Where the Organizer hosts special meals (lunch, dinner, breakfast) or exclusive sessions:

  • Invitations for such special events may be collected at the welcome desk, subject to availability.
  • Such invitations are reserved for Members and featured Participants who meet designated criteria.
  • Non-Members may be offered such invitations on a strictly first-come, first-served basis, only if surplus capacity exists after accommodating Members and priority categories.
  • No Non-Member has a right to claim, demand, or insist upon such special invitations, even if they attended the main event.
  • Attempting to claim special invitations through coercion, complaint, or threats may result in expulsion and permanent barring from future events.

7. RIGHT OF REFUSAL & ACCESS CONTROL

7.1 Absolute Right of Refusal

The Organizer reserves the absolute and unfettered right to:

  • Deny entry or restrict access to any Participant, even if they have received a Confirmation;
  • Request any Participant to leave the venue or exit the Initiative at any time;
  • Remove any Participant without providing prior notice, detailed explanation, or opportunity to respond;
  • Exclude any Participant from any part of the Initiative.

7.2 Grounds for Refusal or Removal

Entry may be denied or a Participant may be removed for any reason, including but not limited to:

  • Non-compliance with these T&C or Initiative-specific terms;
  • Failure to produce required documents or verification;
  • Late arrival or arrival after the notified cut-off time;
  • Overcapacity, full house, or seating constraints;
  • Disruptive, inappropriate, or offensive conduct (see Section 9);
  • Security concerns or law and order considerations;
  • Regulatory or legal compliance requirements;
  • Violation of venue rules or health and safety guidelines;
  • Professional concerns related to the Participant's background or reputation;
  • Force majeure or emergency circumstances;
  • Any reason at the Organizer's sole discretion, including reasons not disclosed to the Participant.

7.3 No Right to Information

The Participant has no right to demand explanation, justification, or detailed reasons for denial of entry or removal. The decision of the Organizer shall be final and binding.

7.4 No Redress or Compensation

Denial of entry or removal does not entitle the Participant to:

  • Any refund (if the event was paid);
  • Rescheduling or alternative attendance;
  • Compensation, damages or claims of any nature;
  • Public explanation or apology;
  • Appeal or review of the decision.

8. CODE OF CONDUCT & PROFESSIONAL BEHAVIOUR

8.1 General Conduct Requirements

All Participants are required to conduct themselves with utmost professionalism, decorum, courtesy and respect towards:

  • Fellow Participants and attendees;
  • Speakers, panellists, judges, mentors and resource persons;
  • Organizer staff, volunteers and support personnel;
  • Venue management and security staff;
  • Sponsors, partners and affiliates;
  • Any other person present at the venue or Initiative.

8.2 Prohibited Conduct

The following conduct is strictly prohibited and may result in immediate expulsion, permanent blacklisting and/or legal action:

  • Harassment, abuse, intimidation, or threats directed at any person;
  • Defamatory, offensive, inflammatory, discriminatory, or hateful statements towards the Forum, speakers, or other Participants;
  • Unwanted physical contact, inappropriate behaviour, or sexual harassment;
  • Disruption of sessions, including loud interruptions, heckling, or interference with ongoing proceedings;
  • Aggressive questioning, confrontational behaviour, or attempts to dominate discussions designed to disrupt the event;
  • Recording, photographing, or live-streaming sessions without explicit written permission (see Section 12);
  • Misrepresentation of association with the Forum, including claims of endorsement, partnership, or affiliation not authorized;
  • Commercial solicitation or aggressive promotion of products/services without permission;
  • Fraudulent claims, such as falsifying credentials, company information, or business status;
  • Use of grievance mechanisms as a tool for coercion, extortion, or intimidation, or filing false, frivolous, or vexatious complaints;
  • Making threats of legal action, regulatory complaints, or media exposure as pressure tactics;
  • Consumption of alcohol or use of controlled substances (unless explicitly permitted);
  • Violation of venue or security protocols;
  • Any other conduct deemed inappropriate by the Organizer.

8.3 Consequences of Misconduct

Any Participant engaging in misconduct shall be subject to:

  • Immediate expulsion from the Initiative without notice or opportunity to respond;
  • Permanent barring from all future Initiatives of the Forum;
  • Formal notification to law enforcement or relevant authorities, if legally warranted;
  • Public disclosure of misconduct, if deemed appropriate by the Organizer;
  • Civil or criminal legal action for defamation, harassment, threat, or other violations;
  • Involvement of security or police personnel if the misconduct poses safety risks.

9. INTELLECTUAL PROPERTY, RECORDINGS & CONTENT

9.1 Ownership of Materials

All content, materials, presentations, slides, documents, videos, recordings, designs, logos, branding, artwork, photographs, session transcripts, discussions and any intellectual property created, displayed, presented, or used in relation to any Initiative are the exclusive intellectual property of:

  • The Organizer (for materials prepared by or for the Forum);
  • The respective speakers, panellists, or content creators (for their individual presentations and materials).

9.2 Prohibition on Unauthorized Copying & Distribution

Unless expressly permitted in writing by the Organizer, Participants are strictly prohibited from:

  • Recording, photographing, or video-recording sessions, presentations, or discussions;
  • Audio recording or transcribing any content;
  • Live-streaming or real-time transmission of sessions to external parties;
  • Copying, downloading, or capturing any materials, slides, or documents;
  • Distributing, sharing, publishing, or republishing any content or recordings;
  • Creating derivative works based on presentations or materials;
  • Commercial exploitation of any content or recordings.

Violation of these prohibitions shall result in immediate expulsion and may trigger legal action for copyright infringement.

9.3 Permitted Use & Organizer License

The Participant grants the Organizer a non-exclusive, royalty-free, irrevocable, worldwide license to:

  • Photograph and video-record the Participant's image, likeness, voice and appearance during the Initiative;
  • Use, edit, reproduce, adapt and publish such photographs and recordings in:
  • Event coverage, reports and documentation;
  • Marketing, promotional and publicity materials;
  • Social media, websites, blogs and digital platforms;
  • Print publications and case studies;
  • Any other medium or format, at the Organizer's discretion.

Attribute or anonymize the Participant's name, business, or profile in any such use;

Edit, modify, or blend recordings with other content.

The Participant has no right to control, approve, or receive compensation for such use, provided it does not constitute false endorsement or defamation.

9.4 Participant-Generated Content

Where a Participant presents, pitches, or shares any materials, presentations, business profiles, or documents during the Initiative:

  • The Participant confirms ownership and right to use such materials;
  • The Participant grants the Organizer the right to use such materials for the purposes listed in Section 9.3;
  • The Participant indemnifies the Organizer against any third-party intellectual property claims arising from such materials.

10. CHANGES, POSTPONEMENTS, CANCELLATIONS & FORCE MAJEURE

10.1 Right to Modify

The Organizer reserves the absolute right, at its sole discretion and without notice, to:

  • Modify, postpone, or cancel any Initiative, in whole or in part;
  • Change the date, time, duration, or venue of the Initiative;
  • Alter the format (physical, virtual, hybrid, or other);
  • Change speakers, panellists, or agenda items without notice;
  • Substitute or withdraw any program component.

Such changes may be made at any time, with or without advance notice, particularly where circumstances warrant.

10.2 Grounds for Changes or Cancellation

Changes or cancellations may be made due to, but are not limited to:

  • Safety, security, law and order considerations, or regulatory directives;
  • Public health concerns (pandemics, epidemics, health hazards);
  • Technical or operational failures (technology breakdown, internet outage, platform unavailability);
  • Venue constraints (unavailability, damage, access denial);
  • Partner or sponsor cancellation or withdrawal;
  • Speaker/participant unavailability;
  • Insufficient registrations or participation;
  • Force majeure events (natural disasters, earthquakes, floods, storms, acts of government, strikes, war, insurrection, epidemics, pandemics, unforeseen emergencies);
  • Any other reason deemed appropriate by the Organizer.

10.3 Notification & Participant Responsibility

The Organizer shall make reasonable efforts to notify registered Participants of changes or cancellations via email, SMS, or other means;

However, failure to receive such notification does not affect the validity of the change or cancellation;

Participants are responsible for checking email, the Forum's website, or other communication channels for updates;

The Organizer is under no obligation to make personal phone calls or provide individual notifications.

10.4 Limitation of Liability for Changes or Cancellations

In the event of modification, postponement, or cancellation of an Initiative:

For Free (No-Cost) Initiatives:

  • The Organizer's liability is strictly zero;
  • No compensation, refund, rescheduling, or alternative arrangements are due;
  • Participants acknowledge that free events may be subject to changes and cancellations without liability.

For Paid Initiatives (where a registration fee or charge was paid):

  • The Organizer's liability is strictly limited to refund of the fee actually paid for that specific Initiative;
  • No compensation for indirect, consequential, or incidental losses (e.g., travel expenses, accommodation, lost opportunities, professional embarrassment) shall be entertained;
  • Refunds, if issued, shall be processed within 15 business days.

10.5 No Claims for Incidental Expenses

Participants shall not be entitled to claim reimbursement or compensation for:

  • Travel expenses (airfare, train, bus, auto, cab, fuel);
  • Accommodation or stay expenses;
  • Meals and refreshments;
  • Lost business opportunities or meetings;
  • Professional embarrassment or reputational harm;
  • Cancellation of other commitments;
  • Any indirect or consequential losses.

11. DATA PROTECTION & PRIVACY

11.1 Data Collection & Use

By registering or participating in any Initiative, the Participant consents to the collection, storage, processing and use of their personal and professional information by the Organizer for the following purposes:

  • Managing registrations and event logistics;
  • Sending event-related updates, reminders and communications;
  • Communicating information about other relevant Initiatives, programs, opportunities, or opportunities offered by the Forum;
  • Reporting and impact assessment;
  • Feedback collection and survey purposes;
  • Creating delegate lists or directories (which may be shared with other Participants or Partners for networking purposes);
  • Compliance with applicable laws and regulations;
  • Statistical analysis and organizational reporting (in aggregated, non-identifying form).

11.2 Data Sharing with Partners & Sponsors

The Organizer may share limited information with event partners, sponsors, or collaborators, including:

  • Names and business profiles of Participants;
  • Aggregated attendance data and participation statistics;
  • Non-sensitive feedback or survey responses.

Such sharing shall be done in compliance with applicable data protection laws.

11.3 Data Security

The Organizer shall take reasonable organizational and technical measures to protect personal data from unauthorized access, loss, or misuse. However, the Organizer does not guarantee absolute security against:

  • Cyber-attacks, hacking, or unauthorized intrusion;
  • Data breaches or leaks;
  • System failures or technological vulnerabilities;
  • Negligence by third parties or Partners.

The Participant assumes all risk related to data security.

11.4 Opt-Out of Communications

Participants may request to opt out of non-essential communications (such as information about future events or programs) by notifying the Organizer in writing. However, Participants shall remain subscribed to essential operational communications (such as event reminders, changes, or venue instructions) necessary for participation.


12. HEALTH, SAFETY & SECURITY

12.1 Compliance with Guidelines

All Participants must comply with:

  • Health, safety and security guidelines issued by the venue or the Organizer;
  • Regulatory protocols related to health, public health mandates, or safety measures;
  • Venue rules and restrictions (such as no-smoking policies, security protocols, access restrictions);
  • Instructions of security personnel, venue staff, or event organizers.

Failure to comply may result in immediate expulsion.

12.2 Organizer Not Liable for Injuries or Loss

The Organizer shall not be liable for:

  • Personal injury, illness, or accident suffered by Participants during the Initiative;
  • Loss, theft, or damage to personal property (belongings, devices, vehicles);
  • Incidents or accidents occurring at the venue or during the Initiative;
  • Medical emergencies or health-related incidents.

Exception: The Organizer shall be liable for personal injury or loss caused by the gross negligence, willful misconduct, or recklessness of Organizer staff or agents. However, liability for such incidents shall be limited to the amount of any paid registration fee and no liability shall extend to indirect or consequential damages.

12.3 Participant Assumption of Risk

By participating, Participants assume all risks associated with their participation, including but not limited to:

  • Health risks (exposure to illness, injury, or contagion);
  • Physical risks (falls, trips, accidents);
  • Environmental hazards at the venue;
  • Loss or theft of property.

13. LIABILITY, DISCLAIMERS & INDEMNITY

13.1 Disclaimer of Warranties

All Initiatives are provided "AS IS" and "AS AVAILABLE" without any warranties or representations, express or implied, including:

  • Warranty of fitness for a particular purpose;
  • Warranty of merchantability or quality;
  • Warranty that outcomes, benefits, or results will be achieved;
  • Warranty of accuracy, completeness, or usefulness of any information, advice, or content shared;
  • Warranty that speakers are subject-matter experts or that their opinions are correct;
  • Warranty of business outcomes, leads, funding, partnerships, or opportunities resulting from participation.

13.2 No Guarantee of Outcomes

The Organizer does not guarantee:

  • That any Participant will receive business leads, client referrals, or commercial opportunities;
  • That any speaker's advice will result in business success or financial benefit;
  • That networking will result in any specific business relationship or transaction;
  • That awards or recognition will enhance brand value or market position;
  • That Participants will be recognized, featured, or acknowledged in any media or publication;
  • That Participants will secure funding, investment, or financial support;
  • That access to Mentors, Advisors, or Experts will result in any specific consultation or assistance;
  • Any other specific outcome or benefit.

13.3 Limitation of Liability

To the maximum extent permitted by law, the Organizer, its trustees, office bearers, employees, agents, partners, sponsors and affiliates shall not be liable for:

  • Indirect, incidental, consequential, special, exemplary, or punitive damages;
  • Loss of profits, revenue, business opportunities, or goodwill;
  • Loss of or damage to reputation or professional standing;
  • Emotional distress, humiliation, or reputational harm claimed as a result of denial of entry or removal;
  • Loss of earning or income due to missed sessions or exclusion;
  • Travel, accommodation, meal, or other personal expenses incurred by Participants;
  • Loss or theft of personal property during the Initiative;
  • Errors, omissions, or inaccuracies in event information, communication, or scheduling;
  • Any indirect or consequential loss of any nature.

13.4 Caps on Liability

Where liability cannot be fully excluded under applicable law, it shall be strictly limited to:

  • For paid Initiatives: The total registration fee actually paid by the Participant for the specific Initiative;
  • For free Initiatives: Zero monetary liability; no monetary compensation shall be awarded.

In no case shall the Forum's liability exceed the amounts specified above and all liability shall be capped at the lower of actual loss or fee paid.

13.5 Indemnity by Participant

The Participant agrees to fully indemnify, defend and hold harmless the Organizer, its trustees, officers, employees, agents, partners, sponsors, and affiliates from and against any and all:

  • Claims, demands, actions, or proceedings (legal, regulatory, or administrative);
  • Liabilities, damages, losses, costs and expenses (including reasonable legal fees);
  • Any third-party claims or allegations;

arising out of or in connection with:

  • The Participant's participation in any Initiative;
  • Breach of these T&C by the Participant;
  • Misrepresentation or falsification of information by the Participant;
  • Unauthorized use or misuse of the Forum's name, materials, or platforms;
  • Violation of applicable laws or regulations by the Participant;
  • Harm caused by the Participant to other Participants, staff, or third parties;
  • Any defamatory, harassment, or threatening statements made by the Participant;
  • Intellectual property claims arising from the Participant's materials or conduct;
  • Any other claim arising from the Participant's actions or omissions.

14. GRIEVANCES, COMPLAINTS & DISPUTE RESOLUTION

14.1 Good-Faith Grievance Mechanism

The Forum welcomes genuine, good-faith complaints and grievances from Participants. Participants may raise grievances by submitting a written complaint to the designated grievance email address or portal, providing:

  • Full name, contact details and business information;
  • Details of the specific Initiative (date, venue, event name);
  • Clear, factual description of the alleged grievance;
  • Specific relief or remedy sought;
  • Supporting documentation or evidence, if any.

14.2 Review & Response

The Organizer shall make reasonable efforts to review and respond to written grievances within a reasonable timeframe (typically 15-30 business days);

However, there is no guarantee of a particular outcome, remedy, or compensation;

The Organizer's decision on any grievance shall be final and binding.

14.3 Exclusion of Frivolous or Bad-Faith Complaints

The Forum explicitly reserves the right to disregard, reject, or take no action on:

  • Frivolous, vexatious, or bad-faith complaints lacking substantive factual basis;
  • Complaints arising solely from the Participant's own non-compliance with these T&C or Initiative terms;
  • Complaints that are evidently false, exaggerated, or deliberately misleading;
  • Complaints filed multiple times on the same issue;
  • Complaints used as a vehicle for coercion, extortion, or intimidation.

14.4 Prohibited Use of Grievance Channels

Participants are strictly prohibited from:

  • Using grievance channels to make threats of legal action, media exposure, or regulatory complaints;
  • Filing complaints with the intent to coerce, extort, or pressure the Organizer into granting compensation or concessions unwarranted by fact;
  • Making false or defamatory allegations against the Forum, its representatives, or staff;
  • Using grievances as a mechanism for harassment or intimidation.

15. RESPONSE TO DEFAMATION AND PROCESS ISSUES

15.1 Scope of This Notice

The Forum openly welcomes legitimate, bona fide legal and regulatory scrutiny were warranted by evidence and fact. However, the Forum shall vigorously defend itself against and will not tolerate:

  • Baseless, malicious, or frivolous legal proceedings;
  • Unfounded complaints filed with regulators or authorities;
  • False, defamatory, or slanderous statements made publicly or in formal documents;
  • Abuse of grievance mechanisms, regulatory complaints, or legal processes as tools for coercion or intimidation.

15.2 Defamation & Libel Warning

Participants are cautioned that making public or written allegations that the Forum is:

  • "Coercive," "unethical," "deceptive," or "fraudulent" (without factual basis);
  • Engaging in "organized harassment" or "systematic discrimination";
  • Operating in violation of law or regulatory standards (without evidence);
  • Any other serious allegation affecting the Forum's reputation or operations;

...without credible supporting evidence may constitute defamation or libel and expose the Participant to civil and/or criminal liability, including:

  • Damages for reputational harm;
  • Injunctions and orders for retraction;
  • Criminal prosecution under relevant defamation statutes.

15.3 Abuse of Process

Filing complaints or legal proceedings against the Forum with regulatory bodies, consumer forums, courts, or other authorities based on knowingly false or materially distorted facts may constitute abuse of process and expose the Participant to:

  • Counter-claims and legal action by the Forum;
  • Dismissal of the complaint with adverse costs;
  • Restrictions on future filings;
  • Regulatory penalties or sanctions.

15.4 Reserved Right to Counter-Action

The Forum expressly reserves the right to:

  • File counter-complaints against Participants for frivolous, vexatious, or bad-faith conduct;
  • Initiate civil legal proceedings for defamation, libel, harassment, abuse of process and intentional infliction of emotional distress;
  • Pursue criminal complaints for threats, harassment, or blackmail where legally warranted;
  • Seek recovery of legal costs, damages and attorney's fees from the Participant;
  • Report misconduct to relevant law enforcement or regulatory agencies.

Such action shall be pursued not out of vindictiveness, but to:

  • Protect the organization's legal rights and reputation;
  • Deter frivolous or vexatious abuse of regulatory and legal processes;
  • Maintain the integrity of the entrepreneurial ecosystem and professional standards.

15.5 Final Warning

Participants are advised, in the strongest possible terms, to:

  • Refrain from filing complaints or legal proceedings based on unsubstantiated allegations or misrepresentation of facts;
  • Accept responsibility for their own actions and omissions, including non-compliance with documented event terms (such as punctuality requirements);
  • Engage in good-faith resolution of any genuine grievances through the Forum's designated grievance channels;
  • Move forward professionally without pursuing baseless legal or regulatory action.

Failure to heed this notice may result in the Forum pursuing all available civil, criminal and regulatory remedies.


16. CONDUCT STANDARDS IN THE ENTREPRENEURIAL ECOSYSTEM

The Forum believes that entrepreneurship and business success are built on professional integrity, punctuality, accountability and ethical conduct. These are not merely administrative requirements; they are foundational virtues that distinguish successful entrepreneurs from those who struggle.

By hosting events at no cost or subsidized cost to the MSME community, the Forum invests its resources, reputation and mission in fostering these standards. Participants who:

  • Arrive late despite clear timing instructions;
  • Make unfounded allegations to extract compensation or concessions;
  • Use grievance mechanisms as tools for coercion;
  • Disregard professional courtesies and conduct standards;

...are not contributing to the entrepreneurial ecosystem but are instead undermining it.

The Forum is committed to upholding these professional standards in all its Initiatives.


17. PARTICIPANT ACKNOWLEDGMENTS

By registering or participating in any Initiative, the Participant acknowledges and agrees that:

  • They have read, understood and fully accepted all provisions of these T&C;
  • They are legally competent to be bound by these T&C;
  • They assume all risks associated with their participation, including health, safety, security and opportunity risks;
  • They have no warranty or guarantee of any outcomes, benefits, or results;
  • They are solely responsible for their timely arrival, document verification and compliance with all terms;
  • They accept the Organizer's absolute right to deny entry, modify events, or take any action deemed necessary;
  • They waive all claims for compensation, damages or redress arising from participation or denial of participation;
  • They consent to photography, recording and use of their image by the Organizer;
  • They agree to be bound by amendments or updates to these T&C as notified by the Organizer.

18. MISCELLANEOUS

18.1 Age Restriction

Persons below 18 years of age are not permitted to participate in most Initiatives without parental/guardian consent and supervision. Where Participants below 18 years register, a parent or legal guardian must provide written consent.

18.2 Amendments & Updates

The Organizer reserves the right to amend, modify, update or supplement these T&C at any time, with or without notice. Updated T&C shall be effective immediately upon posting on the Forum's website or communication to Participants.

Continued participation in any Initiative after such amendments shall constitute acceptance of the updated T&C.

18.3 Severability

If any provision of these T&C is held to be invalid, illegal or unenforceable under applicable law, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

18.4 Entire Understanding

These T&C, together with any Initiative-specific terms notified separately, constitute the entire agreement between the Participant and the Organizer in relation to participation in Initiatives and supersede all prior communications, representations, negotiations or understandings, whether oral or written.

18.5 Waiver

No waiver of any provision of these T&C by the Organizer shall constitute a waiver of any other provision or a waiver for any future occasion. Failure by the Organizer to enforce any right shall not constitute waiver of that right.

18.6 No Third-Party Beneficiaries

These T&C are entered into solely between the Participant and the Organizer. No third party has any rights or claims under these T&C.


19. GOVERNING LAW & DISPUTE RESOLUTION

19.1 Governing Law

These T&C shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles.

19.2 Amicable Resolution

Any dispute, difference or claim arising out of or in connection with these T&C or any Initiative shall, in the first instance, be attempted to be resolved through amicable discussions and good-faith negotiations between the Participant and the Organizer.

19.3 Arbitration

If the dispute cannot be resolved amicably within a reasonable period (typically 30 days), the matter shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time).

  • Number of Arbitrators: One (1) sole arbitrator;
  • Appointment of Arbitrator: The sole arbitrator shall be appointed by the Organizer;
  • Seat of Arbitration: Mumbai, Maharashtra, India;
  • Language: English / Hindi;
  • Applicable Rules: Indian Arbitration and Conciliation Act, 1996;
  • Costs: Each party shall bear its own costs; arbitration fees shall be shared equally unless the arbitrator determines otherwise based on the outcome.

19.4 Exclusion of Courts (Subject to Arbitration Award)

Subject to the above arbitration process, the parties agree to exclude the jurisdiction of all courts and tribunals, save for:

  • Enforcement of the arbitration award;
  • Appeals against the arbitration award as provided under applicable law;
  • Interim relief (such as injunctions or interim orders) sought from competent courts pending arbitration.

19.5 Jurisdiction (for Enforcement & Appeals)

For purposes of enforcement, appeals or interim relief, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.
